POSITION: Audit Committee Member Canadian Medical Protective Association
TERM: Renewable 1 year term
REPORTS TO: Chair, Audit Committee
The Canadian Medical Protective Association (“CMPA”) empowers better healthcare by delivering efficient, high-quality physician-to-physician advice and assistance in medico-legal matters. Importantly, the CMPA provides appropriate compensation, on behalf of our members, to patients proven to have been injured by negligent medical care (fault in Québec). As Canada’s largest physician organization and with the support of its more than 111,000 physician members, the CMPA collaborates, advocates, and effects positive change on important healthcare and medico-legal issues. The Association is governed by an elected Council of physicians.
VACANCY - EXTERNAL MEMBER OF AUDIT COMMITTEE
The Audit Committee of the CMPA consists of up to 5 members of the CMPA Council (practicing physicians voted to serve on the CMPA Council) and up to 2 external experts with experience in serving on Audit Committees.
The Audit Committee meets quarterly to assist CMPA’s Council in fulfilling its oversight role with respect to financial management and controls across the CMPA. The Committee’s financial oversight role extends to all financial matters (policies, procedures, controls and risks) across the organization, including those that might also be under the purview of other governance bodies.
The Audit Committee’s role includes the responsibility to:
Assure areas of potential financial risk to the Association have been identified and adequately assessed; Offer recommendations to Council regarding the management of financial risk, as appropriate; Maintain cognizance of, and where appropriate, offer recommendations to Council with respect to other areas of business risk that might impact the Association’s financial management; Oversee the implementation and maintenance of appropriate internal control systems and measures across the organization to safeguard the Association’s assets, oversee the reliability of financial reporting and compliance with applicable laws and regulations and oversee the financial risks to the organization; Manage the relationship with the external auditor and recommend the audited annual financial statement to Council for approval; Recommend Council approve the proposed audit fees and the appointment of an external auditor. QUALIFICATIONS, SKILLS, AND ABILITIES
Proven experience in financial management Proven experience in a senior position overseeing the client side of regular external audits Familiarity with regulatory requirements and best practices in corporate governance Prior experience serving multiple years on an Audit Committee Chartered Professional Accountant (CPA) designation is required A commitment to upholding the highest standards of financial literacy and expertise Demonstrated understanding of principles of governance and good governance practices Experience with healthcare, financial services or property casualty insurance companies would be an asset Bilingualism would be an asset, however, translation is available at all meetings
